Terms of Service
The agreement between you and Bashdoor Technologies LLC.

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "Client", "you", or "your") and Bashdoor Technologies LLC, a Wyoming limited liability company ("Bashdoor", "we", "us", or "our"), governing your access to and use of our website, services, and any applications we design, build, or operate for you (collectively, the "Services").
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Bashdoor is a web development agency. We design, build, deploy, and maintain custom web applications and websites—including SaaS products, e-commerce platforms, corporate sites, landing pages, and bespoke web applications—for our clients ("End Users" refers to the users of applications we build for a Client).
Our Services may include:
- Discovery, scoping, and technical strategy
- UX/UI design and prototyping
- Web and application development
- Authentication and transactional email integration for account-related communications
- Deployment, hosting management, and ongoing maintenance
- Consulting and technical support
3. Engagements & Accounts
To use the Services, you may need to provide accurate, complete, and current information and/or create an account. You are responsible for:
- Maintaining the confidentiality of any account credentials
- All activities that occur under your account or engagement
- Notifying us immediately of any unauthorized access or security breach
- Ensuring the information you provide remains current
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Send unsolicited bulk or commercial email (spam) of any kind
- Distribute malware, viruses, or other harmful code
- Engage in fraud, phishing, or impersonation
- Infringe on intellectual property rights
- Harass, abuse, or harm other users or End Users
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
- Use the Services for any illegal, harmful, or deceptive activity
Any transactional email infrastructure we implement is intended exclusively for legitimate transactional communications (account verification, password resets, two-factor authentication, security alerts, and similar). Use for marketing, promotional, or unsolicited messaging is strictly prohibited and grounds for immediate suspension.
5. Customer Content and End-User Data
You retain all rights to content and materials you provide to us ("Customer Content"). You grant Bashdoor a limited, non-exclusive license to host, store, transmit, display, and process Customer Content as necessary to deliver the Services.
You are solely responsible for:
- The legality, accuracy, and appropriateness of Customer Content
- Obtaining all necessary consents from End Users
- Compliance with applicable data protection laws (GDPR, CCPA, etc.)
- Maintaining your own privacy policy and terms with End Users
- Backup and protection of your own Customer Content
6. Fees, Billing, and Payment
6.1 Project & Subscription Fees
Services are offered through project-based engagements and/or recurring subscription plans for maintenance and hosting. Pricing and scope are agreed in a proposal or order and may be updated with notice.
6.2 Billing
You agree to pay all fees as agreed. Recurring fees are billed in advance (monthly or annually) and processed securely via Stripe. Except where required by law or expressly stated, fees are non-refundable.
6.3 Taxes
You are responsible for any applicable taxes, levies, or duties associated with your use of the Services, excluding Bashdoor's income taxes.
6.4 Failed Payment
If payment is not received when due, we may pause work or suspend access to the Services after providing reasonable notice.
7. Intellectual Property
Our pre-existing tools, frameworks, libraries, and know-how remain our property. Upon full payment, ownership of the custom deliverables created specifically for your project transfers to you, except for any third-party or open-source components, which remain under their respective licenses.
Feedback you provide about the Services may be used by Bashdoor without obligation to you.
8. Project Deliverables & White-Label Work
We deliver our work under your brand and identity—our work is white-label by default. However:
- You may not resell our pre-existing tools or frameworks as a standalone product
- You remain responsible for your relationship with, and support of, your own End Users
- You must not misrepresent third-party or open-source components as exclusively your own where their licenses require attribution
9. Service Availability
We strive to provide reliable Services but do not guarantee uninterrupted availability. Scheduled maintenance, updates, or unforeseen issues may cause temporary disruptions. We will use commercially reasonable efforts to minimize downtime and notify you of planned maintenance in advance.
10. Suspension and Termination
10.1 Termination by You
You may terminate an engagement or subscription as provided in your agreement or by contacting us. Termination does not entitle you to a refund of pre-paid fees except as required by law.
10.2 Termination by Bashdoor
We may suspend or terminate the Services if:
- You violate these Terms or our policies
- Your use poses a security risk or threatens the integrity of the Services
- You fail to pay fees when due
- Required by law or legal process
- Continued provision becomes commercially impractical
10.3 Effect of Termination
Upon termination, your right to use the affected Services ceases. We will provide a reasonable window to export Customer Content, after which data may be permanently deleted in accordance with our data retention practices.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BASHDOOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASHDOOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO BASHDOOR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Bashdoor and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your Customer Content
- Your violation of any third-party rights, including End User rights
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute arising out of these Terms or the Services shall be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.
You agree to first attempt to resolve any dispute informally by contacting us at legal@bashdoortechnologies.com before pursuing formal legal action.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any project-specific proposal or order, constitute the entire agreement between you and Bashdoor regarding the Services.
16.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
16.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
16.4 Assignment
You may not assign these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
16.5 Force Majeure
Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control (natural disasters, acts of war, government actions, internet outages, etc.).
