Terms of Service

The agreement between you and Bashdoor Technologies LLC.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Bashdoor Technologies LLC, a Wyoming limited liability company ("Bashdoor", "we", "us", or "our"), governing your access to and use of the Bashdoor platform, websites, APIs, and related services (collectively, the "Services").

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Bashdoor provides a white-label, multi-tenant development platform that enables agencies, freelancers, and digital entrepreneurs to build, deploy, and manage web applications—including e-learning sites, corporate websites, blogs, and custom web applications—on behalf of their own clients ("End Users").

The Services include:

• Multi-tenant infrastructure and hosting
• White-label branding and configuration tools
• Pre-built modules (authentication, content management, payments, etc.)
• Transactional email delivery for account-related communications
• Administrative dashboards and APIs
• Optional commercial development consulting

3. Account Registration

To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information remains current

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Send unsolicited bulk or commercial email (spam) of any kind
• Distribute malware, viruses, or other harmful code
• Engage in fraud, phishing, or impersonation
• Infringe on intellectual property rights
• Harass, abuse, or harm other users or End Users
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Use the Services for any illegal, harmful, or deceptive activity

Bashdoor's transactional email infrastructure is intended exclusively for legitimate transactional communications (account verification, password resets, two-factor authentication, security alerts, and similar). Use for marketing, promotional, or unsolicited messaging is strictly prohibited and grounds for immediate suspension.

5. Customer Content and End-User Data

You retain all rights to content you upload or generate through the Services ("Customer Content"). You grant Bashdoor a limited, non-exclusive license to host, store, transmit, display, and process Customer Content as necessary to provide the Services.

You are solely responsible for:

• The legality, accuracy, and appropriateness of Customer Content
• Obtaining all necessary consents from End Users
• Compliance with applicable data protection laws (GDPR, CCPA, etc.)
• Maintaining your own privacy policy and terms with End Users
• Backup and protection of Customer Content

6. Subscription, Billing, and Payment

6.1 Plans and Pricing

The Services are offered through subscription plans with varying features and limits. Pricing details are available on our website and may be updated from time to time with notice.

6.2 Billing

You agree to pay all fees in accordance with your chosen plan. Subscription fees are billed in advance on a recurring basis (monthly or annually). All fees are non-refundable except as required by law or expressly stated in these Terms.

6.3 Taxes

You are responsible for any applicable taxes, levies, or duties associated with your use of the Services, excluding Bashdoor's income taxes.

6.4 Failed Payment

If payment is not received when due, we may suspend or terminate your access to the Services after providing reasonable notice.

7. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by Bashdoor and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You retain ownership of your Customer Content. Bashdoor does not claim ownership of any content you create through the Services.

Feedback you provide about the Services may be used by Bashdoor without obligation to you.

8. White-Label Use

Bashdoor explicitly permits white-label use of the Services. You may present the Services to your End Users under your own branding, custom domain, and identity. However:

• You may not represent that you developed Bashdoor's underlying technology
• You remain responsible for all End User interactions and support
• You must not violate Bashdoor's intellectual property rights when reselling or rebranding

9. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted availability. Scheduled maintenance, updates, or unforeseen issues may cause temporary disruptions. We will use commercially reasonable efforts to minimize downtime and notify you of planned maintenance in advance.

10. Suspension and Termination

10.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Termination does not entitle you to a refund of pre-paid fees except as required by law.

10.2 Termination by Bashdoor

We may suspend or terminate your access to the Services if:

• You violate these Terms or our policies
• Your use poses a security risk or threatens the integrity of the Services
• You fail to pay fees when due
• Required by law or legal process
• Continued provision becomes commercially impractical

10.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will provide a 30-day window to export Customer Content, after which data may be permanently deleted in accordance with our data retention practices.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BASHDOOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASHDOOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO BASHDOOR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bashdoor and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your Customer Content
• Your violation of any third-party rights, including End User rights

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute arising out of these Terms or the Services shall be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

You agree to first attempt to resolve any dispute informally by contacting us at legal@bashdoor.com before pursuing formal legal action.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Bashdoor regarding the Services.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

16.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control (natural disasters, acts of war, government actions, internet outages, etc.).
